RESOLUTION NO. GP-0014-11-12 SUBJECT: APPROVAL OF WORKSHOPS RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves the following workshops: WHEREAS, N.J.A.C. 6A:23B-1.1 et. seq. requires that each board of education adopt a formal policy and procedures relating to travel and expense reimbursement for its employees and board members; and WHEREAS, the School District of the Hoboken Board of Education (the Board) adopted a Travel Expense Reimbursement Policy that addresses the reimbursement of travel-related expenses by Board members and employees of the District; and WHEREAS, the Board has considered all other relevant guidelines and circulars associated with the adoption of its Travel Expense Reimbursement Policy; and WHEREAS, the Board has determined that the travel listed in this Resolution is educationally necessary and fiscally prudent; and WHEREAS, the Board has concluded that the travel and expense reimbursement listed in this Resolution are directly related to and within the scope of the employees current responsibilities; and WHEREAS, the Board has determined that the travel and expense reimbursements listed in this Resolution are for travel that promotes the delivery of instruction or furthers the efficient operation of the school district; and WHEREAS, the Board has concluded that the travel and expense reimbursement listed in this Resolution are in compliance with State travel reimbursement guidelines as established by the Department of Treasury and incorporated herein; THEREFORE, BE IT RESOLVED, pursuant to N.J.A.C. 6A:23B and Board Policy and upon the recommendation of the Superintendent, that the School District of the Hoboken Board of Education, in the County of Hudson, New Jersey, approves travel requests as listed.

RESOLUTION OF THE BOARD OF EDUCATION OF THE CITY OF HOBOKEN IN THE COUNTY OF HUDSON, NEW JERSEY DETERMINING ITS INTENT TO ACQUIRE AND TO FINANCE CERTAIN ENERY SAVINGS EQUIPMENT BY MEANS OF A LEASE PURCHASE FINANCING, AUTHORIZING THE ADVERTISEMENT FOR BIDS TO FINANCE THE EQUIPMENT, AND AUTHORIZING OTHER ACTIONS NECESSARY TO PROCEED WITH THE TRANSACTION.
WHEREAS, The Board of Education of the City of Hoboken in the County of Hudson, New Jersey (the "Board") is created and is charged by law with the responsibility of providing a system of public education within the school district over which it has jurisdiction and to acquire capital equipment; and Whereas the Board believe it is in the best interest of the school district to operate its buildings as efficiently and economically as possible and therefore to consider various energy conservation measures; and WHEREAS the Board has participated in the BPU Energy Audit Program and, after taking the required bids, hired DomeTech as its energy auditor and authorized DomeTech to audit all of its buildings, and DomeTech has completed and submitted to the Board the required Energy Audit; and WHEREAS the Board advertised for proposals for engineering services to obtain more detailed plans and specifications to implement its energy savings program, four responses to its request for proposals were received, and, on the advice of its Energy Consultant, David Mortimer (the Energy Consultant), it awarded a contract to Concord Engineering (the Project Engineer) to further examine its school facilities, recommend energy conservation measures for implementation, make any necessary applications for approval of such measures and prepare plans and specifications for such energy conservation measures; and

WHEREAS such measures involve acquisition and installation of energy savings equipment, and the Board now desires to indicate its intent to finance the energy savings equipment including all incidental or related costs (altogether referred to herein as the "Equipment") by means of an equipment lease purchase financing for a term that does not exceed five (5) years pursuant to the provisions of N.J.S.A. 18A:204.2(f) and N.J.S.A. 18A:18A-1 et. seq.; and WHEREAS, the Board has selected McManimon & Scotland, L.L.C., as special counsel (the "Special Counsel) for the purpose of advising and assisting with the proposed lease purchase financing of the Equipment; and WHEREAS, in accordance with the procedures set forth in N.J.S.A 18A:18A-1 et. seq. and the regulations promulgated thereunder (the Public School Contract Law), a notice of the bid must be published and returned to the Business Administrator/Board Secretary, who, with the assistance of the Special Counsel, will determine the lowest responsive and responsible bidder to purchase the lease from the Board (hereinafter referred to as the Purchaser); WHEREAS, the Board intends to enter into a lease purchase agreement (the Lease) and other related documents with the Purchaser to finance the Equipment in an amount and in accordance with provisions to be determined by subsequent resolution of this Board; now, therefore,
BE IT RESOLVED BY THE BOARD OF EDUCATION OF THE CITY OF HOBOKEN IN THE COUNTY OF HUDSON, as follows: Section 1. The Board hereby determines its intent to finance the Equipment by means of a lease purchase financing in a principal amount and in accordance with terms to be determined by subsequent resolution in accordance with the requirements of the Public School Contracts Law. The Business Administrator/Board Secretary, the Energy Consultant, the Project Engineer, the Special Counsel and other appropriate representatives of the Board (the "Professionals") are hereby authorized to prepare the necessary timetables and bid documents and other related documents as may be necessary and to take other steps necessary to prepare for and to implement the proposed project and financing. Section 2. The Board hereby authorizes the publication of the request for bids in accordance with the requirements of the Public School Contracts Law in order to prepare for the proposed transaction. Section 3. The Board further authorizes the preparation of any applications for approvals required for the project to proceed.

Section 4. The payment of rent or other monies due under the Lease shall be made only from the General Fund of the Board. Neither the Board nor any agency, department or political subdivision thereof shall be obligated to pay any sum to the Purchaser under the Lease from any taxing source for the payment of any sums due under the Lease unless an appropriation is made in a duly approved budget of the Board. The obligations of the Board shall not constitute indebtedness of the Board or of the constituent municipalities or of any department, agency or political subdivision thereof. The Lease shall set forth the term of the lease purchase agreement for the Equipment, the rental payments to be paid by the Board in respect thereof, and the dates on which such rent shall be due and payable. Section 5. The Board hereby covenants that it will comply with any conditions subsequent imposed by the Internal Revenue Code of 1986, as amended (the Code), in order to preserve the exemption from taxation of interest on the Lease, including the requirement to rebate all net investment earnings on the gross proceeds above the yield on the Lease, if applicable. Section 6. The Board hereby declares its intent to issue the lease and to use the proceeds of the Lease to pay or reimburse expenditures in an amount not to exceed $500,000 for the costs of the purpose for which the Lease will be authorized. This resolution is a declaration of intent within the meaning and for the purposes of Treasury Regulations Section 1.150-2 or any successor provisions of federal income tax law. Section 7. This resolution shall take effect immediately.
