Practicum Agreement
Dear We are pleased to inform you that you have been chosen by SM Development Corporation as a participant in its Practicum Training Program with De La Salle University - Manila under our Memorandum of Agreement. In this regard, the terms and conditions of your training in this Program are as follows: 1. Duration: From May 2012 to August 2012 or until the required number of hours is accomplished (480 hrs). However, you agree that your training may be discontinued or shortened in the event that the Memorandum of Agreement is terminated or if the Academic Institution recalls your accreditation as trainee. 2. Place of Assignment:

You agree to abide by all the rules and regulations established by the Company and the specific office where you shall undergo training. Any violation of such rules may result in the discontinuance of your training as coordinated with the Academic Institution. . 3. Schedule: You are expected to undergo training for a minimum no. of 8 hours a day or as agreed upon with your Academic Institution and the Company. 4. Allowances/Facilities: 5. Nature of Relationship: For the duration of your training, you will not receive any form of compensation or remuneration. You agree and hereby acknowledge that your participation in the Practicum Training Agreement does not in any way create any relationship of employment or agency with the Company. You are, therefore, not authorized to represent yourself to anyone as being an employee, agent or representative of the Company. As such, you are not entitled to the benefits and privileges given to its regular employees.

You agree to hold the Company free and harmless from any claim, suit or demand, of whatever nature, for any death, injury, loss or damage that you, your heirs or any third party may suffer as a result of or in connection with your training under the Practicum Agreement. Further, you agree to indemnify the Company for any loss or damage it may suffer due to or in connection with any willful act or negligence on your part. Finally, nothing in this Agreement and your participation in or successful completion of the Practicum Training Program shall be construed or taken as a guarantee or offer of future employment with the Company.

6. Confidentiality:

You shall hold in full and absolute confidence all confidential information about the Company gathered, received, acquired or made known to you in the course of your training. This obligation of confidentiality shall survive the expiration or termination of this Agreement. The Company shall provide you with all tools necessary to perform your obligations under this Agreement. Upon satisfactory completion of your training, under such rules and guidelines agreed upon with the Academic Institution, the Company shall issue, through the Academic Institution, the necessary certificate of completion. You acknowledge that you have read and understood this Agreement in its entirety, with full knowledge of your rights under the law. Further, you warrant that neither the execution nor performance of this Agreement shall violate any of your existing contractual obligations.
