DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS: That the VENDOR, VINCENT PAUL R. TALAO, Filipino, of legal age, a resident of #125 BANANA RD., POTRERO, MALABON CITY, is the lawful owner of a certain Used, & Fully Working Desktop Personal Computer set, Complete with _______________________ Monitor, the ITEMS more particularly described as follows:

AOC OTHERS : COMPLETE CABLES, WIRES AND POWER-SAVING AVR MODEL TYPE POWER BOXX, & INSTALLED O.S. AND SOFTWARE

WHEREAS the VENDOR hereby sell, transfer and convey by way of Conditional Sale unto the BUYER, ______________________________________________________, Filipino, of legal age, and resident of _______________________________________________, (herein referred to as the BUYER) the above-described ITEMS, under the following SALES TERMS AND CONDITIONS: 1. That the agreed consideration for the afore-described ITEMS is the total amount of __________________________________________ Pesos (P_________.00), Philippine Currency; 2. That in case of non-payment or late payment this contract is considered rescinded; the ITEMS above-described shall be returned by the BUYER to the VENDOR in the same condition as when they were delivered to the BUYER, and be replaced with the same kind if damaged; the VENDOR shall not be obliged to refund any of the payments made by the vendee; the VENDOR shall be entitled to collect the debt by any legal means, and will also be entitled to costs, including the collection fees and attorney fees, incurred by the VENDOR to collect the debt; in addition, the BUYER shall be subject to the Sellers right to claim payment of the penalty fee provided for under paragraph 5 herebelow; 5. PENALTY CLAUSE:

In case of non-payment or late payment by the BUYER, the latter shall pay to the Seller a penalty fee equal to 100% (one hundred per cent) of the value of the ITEMS above-mentioned, without prejudice to Sellers right to claim compensation of any further damages suffered in connection therewith.
