SECTION I:
INTRODUCTION
Tell me about JASPER by GEORGE.

JbG was established in 2006. We are a jewellery & giftware business, which operates via party plan. We sell
both ladies’ & men’s jewellery & new age giftware items. We supply you with our DVD brochure and access
to relevant materials that will assist you in selling the products and offer you an attractive commission for
doing so. Our ISR’s can work at their own leisure. The days and hours are up to you. This is a no risk way of
supplementing your income that will fit in with your lifestyle. We offer some great incentives to our ISR’s,
including a Christmas Club. We also offer incentives for hosts to help you gain new and repeat customers
and lucky door prizes for the guests.

Are these products going to be easy to sell?

Yes, the products will practically sell themselves. They are very good quality and quite competitively priced.
There are a variety of styles to choose from so the products are suited to a large variety of people.

How much will this cost me?

There is an administration fee of $20.00 required to commence. This is necessary to provide you with our
DVD Catalogue, a printed version of this ISR Information Book, ISR Order Forms, Customer Order Forms,
Delivery Dockets, Invitations, Hosting Information, Script, and Associated Advertising. You will also
receive $30RRP of free products for you to display.

Is that the ONLY charge?

Each quarter you will be provided with the following DVD free of charge if you have maintained consistent
sales during the previous quarter. You will also be sent any new associated advertising. The DVD will cost
$10.00 to replace if you lose or damage yours, so keep it well protected. Each quarter along with the DVD
you will receive additional paperwork such as order forms etc. If you require additional forms in the
meantime, you can purchase them from JbG or download them free of charge online via our website. You
may photocopy &/or print the paraphernalia that JbG provides you (except DVD) at your own cost.
Sometimes this can be cheaper &/or more convenient for you. You may not however, alter it in any way, nor
use it for a purpose contrary to the benefit of JbG, as set out in the ISR Agreement that you must sign to join.

How much can I earn?

Your income is based upon the amount of sales that you have achieved. The commission rates are calculated
on a weekly basis, and are based on the following sales targets:

Sales to $99.99 = 15% commission

Sales to $199.99 = 20% commission

Sales to $299.99 = 25% commission

Sales to $399.99 = 30% commission

Sales above $400 = 35% commission


The mark up on these products is not extravagant. JASPER by GEORGE operates on the principle that
affordable jewellery & giftware items should be available to everybody. The products have been priced so
you will have no problem in securing repeat customers.

How and when will I be paid?

Your customers will pay you when you deliver their order(s). The initial deposit is forwarded to JbG and
when you receive delivery of the products you will receive an invoice to be payable within 7 days. This
invoice will be for the remainder percentage of the sale.

For example, if you have sold $400 worth of products in that 7-day period, you will earn 35% commission.
You would forward the 50% deposit, which is $200 with your order. When the Products are given to you,
you will receive an invoice with it for the remaining amount that you owe JbG, which based upon these
figures would be for $60. You then take the products to where you hosted the showing and exchange the
Products for the remaining $200. You would then keep your commission of $140 and forward JbG payment
for the invoice for that order.

What are the benefits of becoming a JASPER by GEORGE Independent Sales Representative?

Our independent sales team start earning at 15% and top sellers can earn up to 35% + 40% off personal
purchases.

We also have a Christmas Club Program. For every $1,000.00 in sales you perform during the year, $10.00
will be added to your Christmas account. Sales are calculated from December 1 to November 30. You will be
notified of your balance on December 1 and you have until January 31 to spend your balance. Balances can
not be accumulated to the next year and you must be an active ISR to claim your balance.

There are host(ess) incentives offered. You will be able to offer your host(ess) a $30.00 gift voucher which
entitles them to $10.00 off purchases that they make on the day of the showing, a free gift with their order
when it is delivered (of JbG’s choice) to the value of $10.00 and a $10.00 voucher that can be used at another
showing within six months of the date of issue.

There are also lucky door prizes for guests attending the showing. There are a few items offered for this
purpose including items up to $10.00 from our catalogue and $5.00 gift vouchers.

JbG has a very stylish DVD Catalogue which covers a wide range of products. We add new products every
catalogue, so your customers will have more products to choose from. All JbG products carry our 30-Day
Guarantee. Customers can return products with proof of purchase for a full refund or exchange. Most of our
items have a money back guarantee, however items such as earrings and body jewellery that infringe on
hygiene laws can only be exchanged if faulty. You cannot return these goods simply if you change your
mind.

You can also print all your paperwork at home – as little or as many you require. Go to our website and click
on the item that you require.

Are there tax implications of becoming a JbG ISR?

There can be tax implications of earnings, as there are several scenarios for earnings. The Tax Rates for 2008
– 2009 are shown below. On the website there are links to publications on the ATO website. This
information will give you more of an idea regarding your financial obligations. For more information go to

At the end of each financial year JASPER by GEORGE will give you a statement of payments. This is not a
PAYG Summary. As our Sales Representatives are Independent, we do not issue PAYG Summaries. The
statement that we give our representatives is only to confirm your own records so that you have correctly
declared your taxable income for each financial year.

Do I Need An ABN?

No. An ABN is not necessary. If you would like to read more information regarding ATO requirements, the
ATO has a variety of information that people can download free of charge on their website.
SECTION II:
BEING AN INDEPENDENT SALES REPRESENTATIVE
To be perfectly honest, unless you have previous sales experience, being an Independent Sales
Representative for any company can be a little daunting at first. It is our aim to provide you with concise
material to help you succeed. We hope that by reading this information and practicing the sales techniques
revised, you could be earning top commission rates of 35% within your first couple of weeks. This booklet
contains selling tips & information on how to build your sales. You can learn to build your business at a pace
that suits your family and lifestyle. How much time you devote to your JbG business is entirely up to you.
Whatever your goal we will try to assist you to be as successful as possible.

YOU MUST KNOW AND BELIEVE IN THE PRODUCTS THAT YOU ARE SELLING!

It’s true!!! To be a successful ISR, you must both know your products & believe in the products that you are
selling. Your attitude to what you are selling really decides whether you will sell them or not. If you are
positive about what you are selling, you will ensure to your customers that the products are quality & are of
value. If the customer has a question, you should be able to answer it. Make sure that you read your brochure
and other material before you try to sell products to the customer. Once you have done that, people will
believe that they should purchase from you. If you are negative about what you are selling, people will not
want to purchase from you because you will create an impression that the goods are not of good quality &
you are there merely to pass the time. You will also create this impression if the customer has a simple
question regarding a product and you do not know how to answer it. You can avoid these simple mistakes.

LET’S REVISE AGAIN WHAT YOU WILL BE SELLING

As a JbG ISR, you will be selling a variety of jewellery and giftware products. Our jewellery is broad in
range. We sell gold, silver, bronze and base metal jewellery, all with a variety of stones. A summary of our
products include ladies & men’s jewellery, jewellery & wooden boxes, incense & associated products,
fragrant oils & perfumes, photo prints & new items are added every month!!!

You have been given your DVD Catalogue and related material. Please ensure that you revise them. There
are many exciting products within the range, and naturally customers will sometimes have questions about
them. Your sales will often depend on being able to answer these questions. As a rule of thumb, revise the
material at least twice. You don’t need to know the answer to every question off hand. You do, however need
to know where to find them. A Frequently Asked Questions (FAQ’s) sheet is in this information package.
Revise this and keep it on hand when showing our products.

Each month new products will be added to our range. Additional advertising paraphernalia will be given to
you in regard to these items as required. You will be notified if any products are removed from sale. A
completely new DVD is issued approximately four (4) times per year, so it is advised that you keep your
copy well protected.
SECTION III:
WHO ARE MY CUSTOMERS?
You will host showings in many different venues and environments. You can invite people to your home or
you can go to theirs. Alternatively, you could be hosting showings at businesses or community groups. Each
location will require a different approach. The remainder of this section gives you advice & tips for selling.

YOU MUST REALISE YOUR MARKET POTENTIAL!

Business networking is a very important factor of becoming successful. You must learn to make the most of
your market potential. As a start to your new venture you can initiate sales of these products to the following
people: (There is also additional space to add your own thoughts, so don’t be afraid to write them down)

FAMILY AND FRIENDS

You will find that your family and friends will support you in a new business venture. And because they
know additional people that you don’t, you could ask them to invite them to showings of the products.

NEIGHBOURS

Many of us know some of our neighbours, and therefore would be able to call on them to show them these
great products. Their circle of friends and acquaintances will be very different to yours, and therefore you
will be able to corner a new niche of your market.

LOCAL BUSINESSES

Many businesses may be interested in seeing these products. If you wish to try this method, please be advised
that you should contact the business via telephone first and make a short appointment to go in and see them.
COMMUNITY GROUPS YOU MAY BE INVOLVED IN

Fire Brigade, SES, Guides, Cubs, Playgroups, Daycares Etc.

WORK COLLEGUES

Regular place of work if this is a second job.

VACATIONAL CLASSES / SPORTS THAT YOU MAY PARTICIPATE IN

SECTION IV:
SALES AIDES & KITS
What Are Sales Aides?

Sales Aides are additional advertising material that will assist you in closing sales. They promote the items
that you are selling by showing clear pictures of each item along with information to assist your customers in
choosing items that they will be happy with. Although we do have a guarantee on our products, no business
wants excessive returns. Obviously your biggest sales aide is your DVD, so keep that safe. Sales aides are
included in the $20 administration charge. Providing that you have consecutive sales for each quarter, they
will continue to be free of charge. If you have not maintained consecutive sales and you wish to continue as a
JbG ISR, you can do so after paying another $20 administration fee.

What Are Sales Kits?

Sales Kits are samples of the products that you are selling. They will usually consist of a few pieces from one
specific range. Each month there will be new sales kits available for you to purchase. These kits are not
included in the $20 administration charge.

Is It Necessary to Purchase Sales Kits?

No, it is not imperative that you purchase them, however you will find it beneficial to physically show some
of the products. Customers will enjoy seeing & touching some of the items that they are being shown on the
DVD. People really do react positively with the knowledge that something that they can see in person is on
the television at the same time.

The Sales Kits start at $25 each. You can purchase these kits in any order, and you can buy one or all of them
at one time. The items in these kits are a minimum of 50% off, therefore each JbG ISR can only purchase one
of each kit. JbG will keep a record of sales kits purchased so that no confusion is caused.

Is it Possible to Loan Sales Kits?

Yes! JbG will loan reliable ISR’s selected sales kits. Not all sales kits are available for loan. You will be
notified monthly of what new kits are available. Loans are only available after three (3) months of
consecutive sales. Loan is for a 14-day period unless directly agreed otherwise by both JbG & the ISR. Loans
are only for this short term as some pieces such as the Swarovski can be quite expensive and we like to give
all of our ISR’s the opportunity to loan our pieces.

This system operates like a traditional library system. If the piece(s) are not in stock when you want them,
they will be reserved and you will be contacted when they have been returned. If you return items late, you
may not be able to loan further pieces. If items are lost or damaged the ISR will be invoiced for the
replacement cost which will be charged at 60% of the RRP.

Pieces must not be worn whilst on loan. If this is evident upon return, you will be invoiced for the
replacement cost of 60% of the RRP. If you have loaned pieces and have been billed for a replacement,
further loans will incur a 30% deposit, which will be refunded when the items are returned in good order.

If you are billed for a replacement three (3) times in any six (6) month period you will no longer be able to
loan further pieces.
Customers will enjoy seeing & touching some of the

items that they are being shown on the DVD.

SHOW THE PRODUCT

The Sale Process commences the moment people begin to arrive at the showing. They will start looking
around for hints of what they are there to see. This is why it can be beneficial to have some product samples
available. If you have incense or fragrant oils, light them just prior to guests being due to arrive. Have the
DVD ready to play.

When everybody has arrived take a few minutes to give the people attending a quick overview of the
products. Whilst you are talking to your guests, hand out the note pads and pens.

Sales Representative for JASPER by GEORGE.

Thank you for coming today so that I can show you the DVD catalogue of our jewellery & giftware products.

Amongst our jewellery are gypsy bronze, sterling silver, pewter and surgical steel pieces. We sell a wide
variety of rings, earrings, necklaces & pendants, just to name a few.

Our most popular range is the Swarovski Rock Cocktail. Each piece is stamped with the Rock Cocktail logo
and comes in a lovely little gift box.

The giftware items include incense, oils, perfumes and related products. The list of fragrances will be
available after the DVD has been shown.

Now, unless anybody has a question, let’s watch the DVD.


STEP TWO: TAKE CUSTOMERS ORDERS

(A suggestion of what to say here is “SCRIPT 2”)

I hope everybody enjoyed the DVD. If you have seen something that you liked, I will be happy to help you
with your order.

Those of you who are ordering need to decide whether you would like to pay for your order over 14 or 28
days. That is whether the deposit will be paid in seven (7) days and the balance paid a further seven (7) days
later, or these payments will be made 14 days apart.

If you have any questions, please don’t hesitate to ask me.

There is some advertising material available if you would like to look at anything again. Also, the DVD is
divided into categories, so if you would like any of it replayed, please let me know.

Also, if you would like to host a showing of JASPER by GEORGE’s products I would be happy to arrange it
with you.

When the DVD is over hand out the customer order forms. They are quite simple to fill out, however make
sure you do ask if anybody needs assistance. Check the orders for mistakes prior to accepting them. Give the
customer the right hand side of the order form, as this will be required later.

Keep this side for your records. Give the customer this side.

Remember to ask the people that attend the showings if they would like to book one of their own. Also
remember to ask the people you do the showings for if you can contact them when the next DVD is
produced. Make sure you wait until everybody that wants to has ordered before you pack up any sales aides
&/or kits. Be patient if somebody is taking a little time to make up his or her mind. When you are leaving, be
sure to thank the person who booked the showing for their time & hospitality.

STEP THREE: PICK UP THE DEPOSIT

Make sure everybody knows to bring the deposit to the person whom the showing was booked by prior to it
being due for collection by yourself. Ask that customers put the portion from the order form they were
previously given in an envelope with the deposit payment. You will need to match it to their order.

Hopefully it will not happen too often, but occasionally customers will change their mind and decide not to
purchase the product(s) after all. If this does happen, just write “cancelled” across the order form and file it.
If you get a few cancelled orders within a short time frame, let JbG know so we can discuss the possible
reasons why this is happening.

STEP FOUR: PAY THE DEPOSIT TO JbG

All deposit payments are to be made prior to submitting order. When you direct deposit into JbG’s bank
account, you must use your ISR# as the reference. Once you have made the deposit, please email the amount
& you ISR reference number to JbG. Your order will be processed as soon as your payment has cleared, so
make sure we can recognize your particular payment from others. Our account details are listed in section IX.

STEP FIVE: PLACE THE ORDER WITH JbG

If you are submitting an order for that week, it must be submitted on Fridays prior to 5.00PM. The easiest
way to email your order is to fill out the order form and scan it. Send the file as an attachment in an email
with the subject as “ISR Order”.

STEP SIX: RECEIVE PRODUCTS FROM JbG.

When you receive the products from JbG, you will need to sort out the order. To do this simply match up the
products to the order forms.

If your order is on 7-day terms, it will be sent to you by standard post. It should be received by you by the
following Friday. If your order is on 14-day terms then your order will be received by the Friday after that.

Fill out the delivery docket and tape it to the product.

If there are any problems with your order, contact JbG immediately, so we can rectify it as soon as possible.

STEP SIX: PICK UP BALANCE & DELIVER THE ORDER TO CUSTOMERS

Make sure everybody knows to bring the balance to the person whom the showing was booked by prior to it
being due for collection by your self.

Once again ask that the payment be put in an envelope with the customers name and the balance amount on
the front so you can match it with the order.

Take the products to where you had the showing and establish what orders have been paid for in full. Write
“paid” across the delivery docket and leave it there for collection.

Once again, occasionally customers will fail to pay the balance for their order. If this happens, just write
“unpaid” across the delivery docket and return the product and original order form to JbG. We will adjust
your invoice accordingly.

ISR’s are not authorized to give refunds or credit notes. Forward these requests to JbG with the associated
paperwork.

STEP SEVEN: PAY THE AMOUNT INVOICED BY JbG.

When you receive the Products that your customers have ordered, you will also receive an invoice for the
remainder of the order less your commission. This is payable within seven (7) days.

Please be sure to pay these invoices on time as further orders could be delayed if payments are late.

Once again, please contact the office immediately if there are any problems.
SECTION VI:
SELLING TIPS
JbG wants you to succeed. Selling can be harder for some people compared to others. Below are some simple
tips that everybody can follow to help make your showings a success.

Invite at least ten (10) people per showing. Give each person an invitation, so they don’t forget. Book
showings at least one week in advance.

When hosting at another premises, give the occupant a “Showing Pack” when they book the time & date. Go
through it with them. Confirm any bookings a couple of days prior to their scheduled date.

Make sure you leave your contact details with people you are doing showings for in case they need to contact
you to ask a question or change the time / date of the showing.

Make sure that there is enough seating. The DVD is approximately 15 minutes long.

If you have purchased or loaned sales kits, display these items on a coffee or dining table that it visible to all.
Preferably, put these items in between the customers and the television for full visual impact.

If you have fragrant oils or incense, use these items to create some ambiance. Stick to subtle scents as some
can be quite overwhelming to some people, which will create a negative attitude from the start.

If you are serving finger food, which is recommended, choose food that can be eaten with toothpicks. You
don’t want customers handling your display items with dirty hands.

Give each potential customer a blank note pad & pen to write down what they are interested in as the DVD
plays through. When you play the DVD, keep the remote in your hand so you can pause it if there are any
questions.

Be sure to remind your potential customers that the Swarovski Rock Cocktail range comes gift boxed and
that the rings also have the size stamped on the inside so loved ones can purchase additional pieces for them.
All Swarovski Rock Cocktail pieces are stamped with the RC Logo.

Remind customers of the JbG guarantee.

Do not be an imposition in somebody else’s premises. Be attentive when customers ask you questions about
the products.

Keep this guide with you when you have a showing so you have your FAQ sheet on hand.

It is okay to say, “I don’t know” if you have no concise answer for a customer. If there are any such
questions, be sure to advise the office when you submit orders. This is preferred to deliberately misleading
customers. Don’t be afraid to contact JbG if you have any questions. We will be happy to assist you where
we can.

What is Swarovski Rock Cocktail? Swarovski is silver crystal from Austria. Rock Cocktail is a
specific range of jewellery produced from Swarovski crystal pieces.

What is Rhodium Plating? Rhodium plating is an electroplating solution used to protect metals.

What is Gypsy Bronze? Gypsy Bronze is similar to gold plate, but more durable.

What kind of guarantee do the products have? Show the customer the JbG Guarentee card that you
have been given.

What is Paua Shell? Paua shell is the Maori name for the shell of large sea snail. It is also known as
abalone.

What is Mother of Pearl? Mother of pearl, also known as nacre is a variety of the pearls we are
familiar with. It simply comes in different shapes.

What is Henna? Henna is a natural plant extract that is used for dying hair and for temporary tattoos.

How Can I Become an ISR for JbG? We have given you some advertising paraphernalia for
becoming a JbG ISR. Give this to them so they can contact us. Be sure that they know your name. All
ISR’s that refer someone to join us will receive 25% ($5) of the administration charge.

How Long Do I Have To Pay For The Products? Sort this out with the people attending the
showing. You need them to agree upon either a 7-day or 14-day term. The ISR generally decides the
trading terms.

How Long Until I Receive The Products? Once again, this will depend if you are operating on a 7-
day or 14-day period. If it is a 7-day order, it will be received in approximately 14 days. If the order is on
14-day terms, it will be received in approximately 28 days.

What If I Need My Order Earlier? If you, the ISR can arrange with the customer for this to be
suitable to you both you can do this. JbG can get the orders to you within seven (7) days of payments
clearing. We unfortunately can not guarantee any shorter length of time

Why is so much of the advertising printed in black & white? JASPER by GEORGE prints most of
our advertising in black & white so that the customer is not paying to promote the business. It is far more
cost effective which means that you are not paying inflated prices to cover our high overheads.

What If I Changed My Mind After I Have Paid The Deposit? Where possible a refund will be
issued. If not a credit note will be issued in lieu.

If customers are asking you any other repetitive questions, please let us know.

The JASPER by GEORGE (herein referred to as JbG) Independent Sales Representative (herein referred to
as the ISR) has entered into business on his or her own behalf as an Independent Sales Representative of
products produced or supplied through JbG (the Products) and JbG is willing to supply Products to the ISR
on the terms set out below.

JASPER by GEORGE Agrees:

To supply to the ISR Products ordered by the ISR (subject to availability) for sale to customers.

To provide advertising, promotional services, training instruction and guidance to the ISR in connection with
the selling of the products.

To supply and/or sell sales aids to the ISR.


If the ISR returns products on behalf of themselves or their customer(s) in accordance with the terms of the
JbG Guarantee, JbG will make a credit adjustment to the ISR’s account or refund direct to the ISR. JbG
reserves the right to require that such products be returned to JbG by the ISR.

The Independent Sales Representative Agrees:

To pay JbG promptly for the invoiced amount of all Products ordered by the ISR and supplied by JbG:

By the due date on the invoice (within 7 days of receipt of invoice) for the Products supplied to him or her.

In the specified manner for the prices of all Products supplied to them.

To order & make payment promptly to JbG for all Products ordered & paid for by the customer:

By the due date on the order form (within 7 days of receipt of order) for the prices of all Products to be
supplied to him or her. Within seven (7) days of receipt of payment, those products ordered by the ISR, will
be supplied to him or her to pass on to the customer.

To pay JbG all charges for materials and services supplied to the ISR are the rates or amounts charged by
JbG.

That JbG may disclose to its collection agencies personal information of the ISR for the purpose of
recovering outstanding amounts due to JbG in the event the ISR 's account is in default.

JbG or its collection agencies may disclose to credit reporting agency the ISR 's personal information
including: the ISR’s identification; payments which become more than 60 days overdue and advise if &
when payments are no longer overdue.

The ISR may not make any statement or engage in any conduct which may:

1. Mislead or deceive customers as to the nature or likely effects of any Products; or,

2. Otherwise damage or diminish JbG 's reputation.

Without prior express written permission from JbG the ISR shall not offer for sale the Products at retail
outlets, markets, garage sales or any similar place of business, or supply to any person or persons who they
know or may suspect may then on-sell the Products at such places of business.

Such unauthorized sale of the Products shall result in termination of the Agreement.

JASPER by GEORGE and the Independent Sales Representative mutually agree:

The ISR is authorized to make offers for sale of Products to customers and to promote and extend sales of the
Products in all cases by calling on customers at places other than places of business where goods of that kind
are normally offered or displayed for retail sale and to deliver Products supplied by JbG promptly to
customers.

All costs and expenses incurred by the ISR shall be borne by him or her.

That the ISR shall sell products at prices nominated by JbG in catalogues & other brochures. The ISR is
entitled to retain all commission on upon the receipt of payment for the Products ordered and paid for in full
by the customer.
The commission rates are calculated on a weekly basis, and are based on the following sales targets:

Sales to $99.99 = 15% commission

Sales to $199.99 = 20% commission

Sales to $299.99 = 25% commission

Sales to $399.99 = 30% commission

Sales above $400 = 35% commission

The ISR is entitled, after three months of consecutive sales, to make personal purchases from the JbG product
range at 40% off. Naturally, no commission is given for these sales.

The ISR is an Independent Representative and is not engaged as an employee of JbG nor under a contract
wholly or partly for his or her labour.

The ISR is not excluded from engaging in any other work, whether part or full time.

The ISR has no power or authority to incur any debt, obligation or liability on behalf of JbG except to the
extent earlier set out in this contract on the sale of Products.

The costs for the host(ess) incentives and lucky door prizes are paid for by JbG. If the ISR wishes to conduct
any other promotions, they must first gain the direct permission of JbG and the cost will be borne by the ISR.

The ISR must be still actively selling on November 30 to redeem their Christmas Club balance.

The ISR is authorized upon the sale of any Product to give on behalf of JbG to any customer the benefit of
the JbG guarantee in the form in which such a guarantee shall apply for 30 days and for reasonable
circumstances and is not extended to:

Products which have been substantially used;

Containers that have been broken or damaged through accident or misuse;

Jewellery that has become worn through use;

Pierced earrings that do not come wrapped in their original packaging with the seals
unbroken;

Very old products;

Large scale excessive returns;

Sales aids / kits.

Products that are specified to have a credit only refund (the customer will receive a credit note to the value of
that product).
The JbG ISR agrees that they will also be accountable for any returns in the amount of commission that they
received for the purchase of that / those products.

From time to time promotional goods or rewards may be supplied pursuant to composite sale provided the
ISR achieves agreed sales targets as stipulated by JbG.

The JbG ISR may not delegate his or her rights and obligations under this agreement to other persons,
including but not limited to the right to incorporate, form a partnership, or hire or subcontract with other
persons for taking orders for the Products and/or delivery of the products to customers, without the prior
consent of JbG.

The JbG ISR will not establish a JbG related website or otherwise advertise over the Internet. This includes,
but is not limited to, the selling of products on such sites as eBay and Oztion.

The JbG ISR will not advertise on his or her own right without the permission of JbG.

JbG may levy a reasonable late payment charge where JbG directly incurs extra charges. A reasonable charge
may also be made by JbG where additional costs are incurred by JbG in respect of dishonored cheques
received by JbG from the JbG ISR as payment for Products ordered.

The JbG ISR agrees to participate in fundraising on JbG’s behalf and the JbG ISR agrees to the 20% base
commission payments to them for these activities.

The agreement constitutes the entire agreement between the parties and it is acknowledged that "The
JASPER by GEORGE Independent Sales Representatives Information Booklet" is merely a suggested
business method for an ISR. However, there is no obligation on the JbG ISR to adopt or comply with those
suggestions, nor will it guarantee that you are successful as an ISR.

The agreement is not subject to change except in writing signed by an authorized officer of JbG and
supersedes any agreement previously made between the ISR and JbG.

The JbG ISR may terminate this agreement at any time.

If the JbG ISR acts in a way, which is contrary to JbG's best interest, JbG may terminate this Agreement by
notice to the ISR at his/her address last known to JbG.
