What Does Corporate Governance Mean?




The relationship between all the stakeholders in a company. This includes the shareholders, directors, and management of a company, as defined by the corporate charter, bylaws, formal policy and rule of law.

CG answers the basic question in economics , i.e how do we allocate scarce resources to the most effective uses. Adam Smith talks about two kinds of people what he calls principals, people who have all the money ,more money than ideas ,then agents people who have all the ideas , more ideas than money, people who undertake activities

The purpose of CG and therefore the purpose of board of directors of a corporation is to be intermediaries between the two, to figure out how to allocate ,how to best allocate the money, the resources, the capital that belongs to the principals to the best activities the activities that will contribute to most value to the society

Concept and Objectives




It is a system of structuring, operating and controlling a company with a view to achieve long term strategic goals to satisfy shareholders, creditors, employees, customers and suppliers, and complying with the legal and regulatory requirements, apart from meeting environmental and local community needs.

Concept and Objectives




Corporate Governance may be defined as a set of systems, processes and principles which ensure that a company is governed in the best interest of all stakeholders. It is the system by which companies are directed and controlled. It is about promoting corporate fairness, transparency and accountability. In other words, 'good corporate governance' is simply 'good business'.

It ensures:  Adequate disclosures and effective decision making to achieve corporate objectives;  Transparency in business transactions;  Statutory and legal compliances;  Protection of shareholder interests;  Commitment to values and ethical conduct of business.

The aim of "Good Corporate Governance" is to ensure commitment of the board in managing the company in a transparent manner for maximizing long-term value of the company for its shareholders and all other partners. The fundamental objective of corporate governance is to enhance shareholders' value and protect the interests of other stakeholders by improving the corporate performance and accountability.

Objective of Corporate Governance

A properly structured board capable of taking independent and objective decisions is in place at the helm of affairs; The board is balance as regards the representation of adequate number of nonexecutive and independent directors who will take care of their interests and wellbeing of all the stakeholders;

The board adopts transparent procedures and practices and arrives at decisions on the strength of adequate information; The board has an effective machinery to subserve the concerns of stakeholders; The board keeps the shareholders informed of relevant developments impacting the company;

The Benefits of Corporate Governance




It contributes not only to the efficiency of a business enterprise, but also, to the growth and progress of a country's economy. corporations need to access global pools of capital as well as attract and retain the best human capital from various parts of the world

Well governed companies mitigate nonbusiness risks . Increase efficiency of their activities and minimize risks. Get an easier access to capital markets and decrease the cost of capital; Increase growth rate; Attract strategic investors; Strengthen their reputation and raise the level of investors and clients' trust

Empirical evidence and research conducted in recent years supports the proposition that it pays to have good CG. It was found out that more than 84% of the global institutional investors are willing to pay a premium for the shares of a wellgoverned company over one considered poorly governed but with a comparable financial record

If a country does not have a reputation for strong corporate governance practices, capital will flow elsewhere. If investors are not confident with the level of disclosure, capital will flow elsewhere. If a country opts for lax accounting and reporting standards, capital will flow elsewhere. Guidelines/Principles At International Level




There are several reports and recommendations of the International Committees/ Associations, etc. on the development of appropriate framework for promoting good corporate governance standards, codes and practices to be followed globally. Applicability of clause 49
It is applicable to those seeking listing for the first time, to those already listed and to all those with a paid-up share capital of more than Rs 3 crore or a recorded net worth of Rs 25 crore anytime during their history.  Most listed companies will get covered

1. Board of Directors

Board Meetings


The board shall meet at least four times a year , with a maximum time gap of three months between any two meetings. A director shall not be a member in more than 10 committees or act as Chairman of more than five committees. The minimum information to be made available to the board is given in Annexure I A.

AUDIT COMMITTEE


Audit committee is an operating committee of the Board of Directors charged with oversight (supervision) of financial reporting and disclosure. Committee members are drawn from members of the company's board of directors

2. AUDIT COMMITTEE


The audit committee shall have minimum three directors as members . Two thirds of the members of audit committee shall be independent directors All members of the audit committee shall be financially literate with one member having accounting/ financial management expertise. The audit committee shall meet at least 4 times in a year.

The company shall disclose the uses and application of funds arising out of public issues , right issues , preferential issues etc. Any deviation of funds from the purposes stated in offer document/prospectus/notice to be reported to audit committee along with reasons.

6. REPORT ON CORPORATE GOVERNANCE TO THE STOCK EXCHANGES




a compliance report within 15 days from the close of the quarter in the revised format. the report contains the entire provisions of the new corporate governance clause. a separate cell is being set up by the stock exchanges to monitor the compliance of the provisions.

The company has to obtain a certificate from the auditors or practicing company secretaries regarding compliance of corporate governance.

company to have an internal policy on access to audit committee by employees on unethical and improper practice. the policy to be communicated to employees and included in the HR manual. company shall affirm that it has not denied any personal access to audit committee and has provided protection to whistle blowers from unfair termination etc. the affirmation shall from part of the board report on corporate governance.

Management Discussion & Analyses report  Among other things, the MD&A provides an overview of the previous year of operations and how the company fared in that time period. Management will usually also touch on the upcoming year, outlining future goals and approaches to new projects. The MD&A is a very important section of an annual report, especially for those analyzing the fundamentals, which include management and management style.

The amount by which assets exceed liabilities. This term can be applied to companies and individuals. For a company, this is known as shareholders' (or owners') equity and is determined by subtracting liabilities on the balance sheet from assets. For example, if a company has Rs 45 crores worth of liabilities and Rs 65 crores in assets, the company's net worth (shareholders' equity) is Rs 20 crores

What is whistle blowing




The release of information by a member or a former member of an organisation that is evidence of illegal and /or immoral conduct in the organisation or the conduct in the organisation that is not in the public interest . Cynthia Cooper of World com, Sherron Watkins of Enron and Coleen Rowley of FBI are some of the examples

An employee stock option is a call option on the common stock of a company, issued as a form of non-cash compensation. Restrictions on the option attempt to align the holder's interest with those of the business' shareholders. If the company's stock rises, holders of options generally experience a direct financial benefit. This gives employees an incentive to behave in ways that will boost the company's stock price.

Listing means admission of securities to dealings on a recognised stock exchange. The objectives of listing are mainly to : provide liquidity to securities; mobilize savings for economic development; protect interest of investors by ensuring full disclosures.

Types of directors There are two types of director, executive and non-executive. There is no legal distinction made between executive and non-executive directors - the difference is that non-executive directors do not get involved in the day-to-day running of the business.
